Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ContinuEye platform, website, tools, APIs, and related services (collectively, the "Service") operated by ContinuEye ("Company," "we," "us," or "our").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Overview of the Service
ContinuEye provides infrastructure tooling for deploying, monitoring, and governing autonomous AI agents. The Service includes managed hosting, security scanning, CI/CD pipelines, monitoring dashboards, policy enforcement, human-in-the-loop approval workflows, and related developer tools.
ContinuEye is an infrastructure platform. We do not build, train, or operate AI models or AI agents. The agents deployed through our platform are configured and controlled by you.
2. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Accounts
3.1 Account Creation
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
3.2 Account Security
You agree to notify us immediately at support@continueye.com if you become aware of any unauthorized access to or use of your account.
3.3 Account Termination
You may close your account at any time by contacting us. We may suspend or terminate your account if you violate these Terms or if required by law.
4. Subscription Plans and Payment
4.1 Plans
The Service is offered under multiple subscription tiers (Community, Operator, Agency, Platform, and Enterprise), each with different features, limits, and pricing as described on our website.
4.2 Free Tier
The Community plan is provided free of charge and includes limited features. We reserve the right to modify or discontinue free-tier features at any time.
4.3 Billing
Paid subscriptions are billed monthly or annually in advance via our payment processor (currently Stripe). All fees are quoted in U.S. dollars unless otherwise stated.
4.4 Price Changes
We may change subscription pricing upon 30 days' written notice. Continued use of the Service after a price change constitutes acceptance.
4.5 Refunds
Subscription fees are non-refundable except where required by applicable law. If you cancel a paid subscription, you will retain access to paid features through the end of your current billing period.
4.6 Taxes
You are responsible for all applicable taxes. If we are required to collect taxes, they will be added to your invoice.
5. Acceptable Use
5.1 Your Responsibilities
You are solely responsible for:
- All AI agents deployed, configured, and operated through the Service
- All actions taken by your AI agents, including messages sent, commands executed, and data accessed
- Ensuring your agents comply with all applicable laws and regulations
- The content, data, and credentials you provide to or through the Service
- Obtaining all necessary consents and permissions for data processed by your agents
- Ensuring that any third-party integrations (including but not limited to GoHighLevel, messaging platforms, and email services) are used in accordance with their respective terms of service
5.2 Prohibited Uses
You agree not to use the Service to:
- Deploy agents that engage in illegal activity or facilitate illegal activity by others
- Send unsolicited messages, spam, or communications in violation of applicable anti-spam laws (including CAN-SPAM, GDPR, and similar regulations)
- Harass, abuse, threaten, or intimidate any person
- Collect, store, or process personal data in violation of applicable privacy laws
- Circumvent, disable, or interfere with security features of the Service or any third-party platform
- Attempt to gain unauthorized access to any system, network, or account
- Deploy agents designed to conduct cyberattacks, distribute malware, or exploit vulnerabilities
- Use the Service for financial fraud, identity theft, or deceptive practices
- Resell or redistribute the Service in a manner that misrepresents it as your own platform without using the designated white-label features
- Reverse engineer, decompile, or disassemble any part of the Service, except as permitted by applicable law
- Exceed rate limits, abuse API endpoints, or intentionally overload the Service
- Deploy agents that impersonate real individuals without their explicit consent
5.3 Reseller and White-Label Use
If you use the Service's white-label or reseller features to provide agent hosting or management to your own clients, you are responsible for ensuring your clients' compliance with these Terms. You agree to include terms in your client agreements that are no less protective of ContinuEye than these Terms.
6. AI Agent Conduct and Liability
6.1 No Guarantee of Agent Behavior
AI agents are powered by third-party large language models (such as those provided by Anthropic, OpenAI, Google, and others). These models can produce unexpected, incorrect, or harmful outputs. ContinuEye provides monitoring, guardrails, and governance tools to help mitigate risk, but we do not and cannot guarantee that any AI agent will behave as intended.
6.2 Your Liability for Agent Actions
You are solely liable for all actions taken by AI agents you deploy through the Service. This includes but is not limited to emails sent, files modified or deleted, commands executed, API calls made, and any communications with third parties. ContinuEye's monitoring and approval tools are provided as risk mitigation aids, not as guarantees against harmful agent behavior.
6.3 Human-in-the-Loop Limitations
Human-in-the-loop (HITL) approval workflows are designed to intercept high-risk agent actions before execution. However, HITL coverage depends on your policy configuration, and not all agent actions may be interceptable. You should not rely solely on HITL as your security control.
7. Data and Privacy
7.1 Your Data
You retain ownership of all data you provide to or generate through the Service ("Your Data"), including agent configurations, activity logs, audit trails, and client data.
7.2 How We Use Your Data
We process Your Data solely to provide and improve the Service. We do not sell Your Data to third parties. Our handling of personal data is described in our Privacy Policy at continueye.com/privacy.
7.3 Agent Configuration Data
Config files, policy definitions, and skill code you upload or create through the Service are Your Data. We may analyze aggregate, anonymized patterns across configurations to improve our security scanning and recommendations, but we will not share your individual configuration data with third parties.
7.4 Telemetry and Monitoring Data
If you use the ContinuEye monitoring connector (@continueye/agent), telemetry data about agent actions is transmitted to our servers (unless you use local-only mode). This data is stored according to your plan's retention period and is accessible only to you and authorized members of your team.
7.5 Config Scanner
The web-based config scanner tool runs entirely in your browser. No configuration data is transmitted to our servers when using this tool.
7.6 Data Retention and Deletion
Activity logs and audit trails are retained according to your subscription plan's retention period (7 days for Community, 30 days for Operator, 90 days for Agency, 1 year for Platform/Enterprise). You may request deletion of Your Data by contacting us. Upon account termination, we will delete Your Data within 30 days, except where retention is required by law.
7.7 Data Security
We implement commercially reasonable security measures to protect Your Data, including encryption in transit and at rest, access controls, and regular security assessments. However, no system is perfectly secure, and we cannot guarantee absolute security.
8. Third-Party Services
8.1 Infrastructure Providers
The Service relies on third-party infrastructure providers (including but not limited to Hetzner, DigitalOcean, and Amazon Web Services) for managed hosting. Your use of managed hosting is subject to the applicable provider's terms of service and acceptable use policies.
8.2 LLM Providers
ContinuEye does not provide AI models. You supply your own API keys for third-party LLM providers (such as Anthropic, OpenAI, Google, or others). Your use of those models is subject to the respective provider's terms. ContinuEye is not responsible for the behavior, availability, pricing, or policies of any LLM provider.
8.3 Integration Platforms
Pre-built integrations and templates (including GoHighLevel, Slack, Telegram, WhatsApp, and others) connect to third-party platforms. Your use of these integrations is subject to the respective platform's terms. You are responsible for ensuring your use complies with those terms.
8.4 Open-Source Components
The Service incorporates open-source software, including OpenClaw, which is maintained by the OpenClaw Foundation and licensed under the MIT License. ContinuEye is not affiliated with, endorsed by, or a representative of the OpenClaw Foundation, OpenAI, or Anthropic.
9. Intellectual Property
9.1 Our IP
The Service, including its design, code (excluding open-source components), documentation, branding, and proprietary algorithms (including security scanning rules and policy engine logic), is owned by ContinuEye and protected by applicable intellectual property laws.
9.2 Open-Source Components
Certain components of the Service are released under open-source licenses (including the @continueye/agent npm package and the ContinuEye GitHub Action). These components are governed by their respective open-source licenses, not these Terms.
9.3 Your IP
You retain all rights to your agent configurations, custom skills, policy definitions, and client data. We claim no ownership over Your Data.
9.4 Feedback
If you provide suggestions, feature requests, or other feedback about the Service, we may use it without obligation to you.
10. Service Availability and Support
10.1 Availability
We aim to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
10.2 Managed Instances
For managed hosting plans, we provide commercially reasonable efforts to maintain instance uptime, including auto-healing and restart capabilities. We are not liable for downtime caused by third-party infrastructure providers, network conditions, or your agent's behavior (including resource exhaustion or error loops).
10.3 Support
Support is provided according to your subscription tier. Enterprise plans include priority support with defined SLAs. Community and Operator plans include community support only.
11. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that:
- The Service will be uninterrupted, error-free, or secure
- The security scanning, policy engine, or HITL features will detect or prevent all security threats, misconfigurations, or harmful agent actions
- Any AI agent deployed through the Service will behave as intended
- Managed hosting instances will achieve any specific uptime percentage (unless specified in an Enterprise SLA)
12. Limitation of Liability
12.1 Exclusion of Damages
In no event shall ContinuEye be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising out of or related to your use of the Service, regardless of the theory of liability.
12.2 Cap on Liability
Our total aggregate liability arising out of or related to these Terms or the Service shall not exceed the greater of (a) the amounts you paid to us in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100).
12.3 Agent Actions
Without limiting the foregoing, we are not liable for any damages caused by the actions of AI agents deployed through the Service, including but not limited to emails sent, files deleted, commands executed, data exposed, financial transactions initiated, or communications made by your agents.
13. Indemnification
You agree to indemnify, defend, and hold harmless ContinuEye and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service
- Actions taken by AI agents you deploy through the Service
- Your violation of these Terms
- Your violation of any applicable law or third-party rights
- Your clients' use of the Service through your white-label or reseller account
14. Modifications to the Service and Terms
14.1 Service Changes
We may modify, update, or discontinue any feature of the Service at any time. For material changes that negatively affect paid subscribers, we will provide 30 days' advance notice.
14.2 Terms Changes
We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
15. Governing Law and Disputes
15.1 Governing Law
These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of laws principles.
15.2 Dispute Resolution
Any dispute arising under these Terms shall first be subject to good-faith negotiation for 30 days. If unresolved, disputes shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration shall take place in Broward County, Florida. Either party may seek injunctive relief in a court of competent jurisdiction.
15.3 Class Action Waiver
You agree to resolve disputes with us on an individual basis and waive any right to participate in a class action, collective action, or representative proceeding.
16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and ContinuEye regarding the Service.
16.2 Severability
If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
16.3 Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
16.4 Assignment
You may not assign your rights under these Terms without our written consent. We may assign our rights and obligations without restriction.
16.5 Force Majeure
We are not liable for delays or failures in performance resulting from causes beyond our reasonable control, including natural disasters, acts of government, pandemics, internet disruptions, or third-party service outages.
